Scope of Services
FreeWeb provides digital agency services including, but not limited to, website design and development, SEO, mobile application development, paid media management, content strategy, and related consulting.
The specific scope, deliverables, timeline, and pricing for each engagement are defined in the applicable proposal, statement of work, or service agreement.
Client Responsibilities
- Provide timely access to systems, accounts, assets, and information necessary to perform the work.
- Review deliverables and provide feedback within agreed timelines.
- Ensure that any materials supplied to FreeWeb may legally be used for the project.
Fees and Payment Terms
Fees, retainers, milestone payments, and billing schedules are established in the applicable agreement. Unless otherwise stated, invoices are due according to the payment terms described in that agreement.
Late payment may result in paused work, delayed delivery, or suspension of active services until the account is brought current.
Intellectual Property
Upon full payment of all applicable fees, the client receives the rights described in the governing agreement for final approved deliverables created specifically for that client.
FreeWeb retains ownership of pre-existing materials, internal processes, know-how, reusable frameworks, and third-party components unless explicitly assigned otherwise in writing.
Third-Party Platforms and Tools
Client work may involve third-party platforms such as hosting providers, analytics tools, content systems, ad platforms, or app marketplaces. FreeWeb is not responsible for outages, policy changes, pricing changes, or restrictions imposed by third-party platforms.
Limitation of Liability
To the maximum extent permitted by law, FreeWeb will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption arising from use of our services or deliverables.
FreeWeb’s total liability under any engagement is limited to the amount paid to FreeWeb for the specific services giving rise to the claim, unless otherwise required by law.
Termination
Either party may terminate an engagement according to the termination provisions in the applicable agreement. The client remains responsible for payment for services performed and approved expenses incurred up to the termination date.
Governing Law
These Terms of Service and any related client engagements are governed by the laws of the Republic of Ecuador, without regard to conflict of law principles.
